These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and EatingMinds ("Company," "we," "us," or "our"), governing your access to and use of the EatingMinds platform, including the website at eatingminds.com, mobile applications, and all related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
To use the Service, you must:
- Be at least 18 years of age. By using the Service, you represent and warrant that you meet this age requirement.
- Have the legal capacity to enter into a binding agreement under applicable law.
- Not be a person barred from receiving the Service under the laws of India or any other applicable jurisdiction.
- Not have been previously suspended or removed from the Service by us.
We reserve the right to request proof of age or identity at any time and to suspend or terminate accounts that do not meet these requirements.
2. Description of Service
EatingMinds is a social platform that facilitates connections between individuals who wish to share meals together. The Service allows users to:
- Create profiles and post meal availability.
- Browse, search, and discover other users' meal listings.
- Send and receive requests to share meals (1-on-1 or group "Circles").
- Communicate with confirmed meal partners via in-app messaging.
- Optionally share contact information with meal partners.
EatingMinds is NOT a dating service, an escort service, a food delivery service, or a restaurant booking platform. The Service is intended solely for platonic social dining experiences. We do not guarantee that you will find a meal companion, and we do not verify the suitability of any user as a dining partner.
3. Account Registration and Security
3.1 Account Creation
You must create an account to use the Service. You may register using Google Sign-In, LinkedIn, or other authentication methods we support. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at security@eatingminds.com if you become aware of any unauthorized use of your account.
3.3 One Account Per Person
Each user may maintain only one account. Creating multiple accounts may result in the suspension or termination of all associated accounts.
4. User Conduct and Responsibilities
4.1 You Agree To:
- Use the Service only for its intended purpose of finding meal companions.
- Provide truthful, accurate, and non-misleading information in your profile, including your name, age, photos, and profession.
- Treat all users with dignity, respect, and courtesy.
- Meet other users only in public places such as restaurants, cafés, food courts, and similar venues.
- Comply with all applicable local, state, national, and international laws and regulations.
- Respect other users' decisions to accept or decline meal requests without harassment.
4.2 You Must Not:
- Use the Service for dating, romantic solicitation, or sexual purposes.
- Harass, stalk, threaten, abuse, defame, or intimidate any user.
- Discriminate against others based on race, religion, caste, gender, sexual orientation, disability, or any other protected characteristic.
- Post false, misleading, or deceptive content, including fake profiles or photos that are not of yourself.
- Use the Service for commercial purposes, advertising, solicitation, or promotion without our prior written consent.
- Attempt to extract personal data from other users for purposes unrelated to sharing a meal.
- Upload or transmit viruses, malware, or any harmful code.
- Circumvent, disable, or interfere with security features of the Service.
- Use automated scripts, bots, or scrapers to access the Service.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Engage in any activity that is illegal under the laws of India, including but not limited to the Indian Penal Code, Information Technology Act 2000, and applicable state laws.
5. Safety and Meetup Guidelines
EatingMinds does not conduct criminal background checks, identity verification beyond email/phone authentication, or in-person vetting of users. You are solely responsible for your personal safety when meeting other users. We strongly recommend:
- Always meet in public places. Never invite someone to your home or go to theirs for a first meeting.
- Inform a friend or family member of your plans, including the name, location, and time of the meal.
- Arrange your own transportation to and from the meeting place. Do not depend on your meal partner for rides.
- Trust your instincts. If anything feels unsafe or uncomfortable, leave immediately.
- Do not share sensitive personal information (home address, financial details, ID numbers) with meal partners.
- Report suspicious or inappropriate behavior immediately using the in-app report feature or by emailing safety@eatingminds.com.
- Do not consume excessive alcohol or substances that impair your judgment during meal meetups.
You acknowledge and agree that EatingMinds is not responsible for any harm, injury, loss, or damage that may result from your interactions with other users, whether online or in person.
6. User Content
6.1 Ownership
You retain ownership of all content you submit, post, or display through the Service ("User Content"), including profile information, photos, messages, and reviews.
6.2 License Grant
By posting User Content, you grant EatingMinds a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, display, and distribute such content in connection with operating and promoting the Service. This license ends when you delete your content or account, except where your content has been shared with other users who have not deleted it.
6.3 Content Standards
You must not post content that:
- Is illegal, obscene, pornographic, or sexually explicit.
- Promotes violence, hatred, or discrimination.
- Infringes any third party's intellectual property, privacy, or other rights.
- Contains personal information of others without their consent.
- Is spam, advertising, or commercial solicitation.
We reserve the right to remove any content that violates these Terms or that we deem inappropriate, without prior notice.
7. Payments and Meal Costs
The EatingMinds platform is free to use. We do not charge for creating accounts, posting availability, or connecting with meal partners.
The cost of meals (food, beverages, restaurant bills) is the sole responsibility of the participating users. The payment arrangement (host treats, guest treats, or split) is indicated on each listing for transparency but is ultimately a private arrangement between users. EatingMinds does not process, mediate, or guarantee any meal-related payments between users.
8. Intellectual Property
The Service, including its design, logos, trademarks, text, graphics, software, and all other content created by EatingMinds ("Our Content"), is owned by or licensed to us and is protected by copyright, trademark, and other intellectual property laws of India and international treaties.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes. You may not copy, modify, distribute, sell, or lease any part of Our Content without our express written permission.
9. Third-Party Services
The Service may integrate with or contain links to third-party services including but not limited to Google (authentication), LinkedIn (authentication), OpenStreetMap (location services), and Azure (cloud infrastructure). Your use of these services is governed by their respective terms and privacy policies. We are not responsible for the content, practices, or policies of any third-party services.
10. Account Suspension and Termination
10.1 By You
You may deactivate your account at any time through the Settings page. Upon deactivation, your profile will be hidden, active listings cancelled, and pending requests expired. You may reactivate by logging in again, but previously cancelled meals and listings will not be restored.
10.2 By Us
We reserve the right to suspend or permanently terminate your account, with or without notice, for:
- Violation of these Terms.
- Conduct that we determine, in our sole discretion, is harmful to other users, us, or third parties.
- Fraudulent, illegal, or unauthorized activity.
- Extended periods of inactivity.
- Any other reason at our sole discretion.
Upon termination, your right to use the Service ceases immediately. Sections 5, 6, 8, 11, 12, 13, and 14 survive termination.
11. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by applicable law, we disclaim all warranties including, but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- That the Service will be uninterrupted, timely, secure, or error-free.
- That the information provided by other users is accurate, reliable, or truthful.
- That any meals arranged through the Service will be satisfactory or safe.
We do not endorse, verify, or vouch for any user. Any interactions with other users are at your own risk.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EATINGMINDS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, exemplary, or punitive damages.
- Any loss of profits, data, goodwill, or other intangible losses.
- Any damages resulting from your interactions with other users, whether online or offline.
- Any personal injury, property damage, or other harm arising from meetups arranged through the Service.
- Any unauthorized access to or alteration of your data or transmissions.
- Any conduct of any third party on the Service.
In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by law. In no event shall our total aggregate liability exceed INR 1,000 (Indian Rupees One Thousand) or the amount you have paid us in the twelve (12) months preceding the claim, whichever is greater.
13. Indemnification
You agree to indemnify, defend, and hold harmless EatingMinds, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any rights of a third party, including other users.
- Your User Content.
- Any meal or interaction arranged through the Service.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The provisions of the Information Technology Act 2000, the Consumer Protection Act 2019, and the Digital Personal Data Protection Act 2023, as applicable, shall apply.
14.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days of written notice, either party may initiate arbitration under the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted by a sole arbitrator mutually agreed upon, in the English language, with the seat of arbitration in New Delhi, India.
14.3 Jurisdiction
Subject to the arbitration provision above, you agree to submit to the exclusive jurisdiction of the courts located in New Delhi, India for any legal proceedings.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service (via in-app notification or email) at least fifteen (15) days before they take effect. Your continued use of the Service after the effective date of changes constitutes your acceptance of the modified Terms. If you do not agree, you must stop using the Service and deactivate your account.
16. General Provisions
- Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and EatingMinds regarding the Service.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
- Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, pandemics, war, terrorism, riots, government actions, or failures of internet or telecommunications infrastructure.
- No Agency: Nothing in these Terms creates a joint venture, partnership, employment, or agency relationship between you and EatingMinds.
17. Grievance Redressal
In accordance with the Information Technology Act 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021, the Grievance Officer for EatingMinds is:
